Terms of Agreement

These Terms of Agreement (“the Agreement”) binds
‘The Administrator’ (Jade Hylton) and ‘The Vendor’ (the signatory).

“Administrator” means Jade Hylton, acting on behalf of Black Brighton Market.
“Vendor” means the individual or business signing this Agreement.

  1. Application.
    Administrator: The Administrator is responsible for designing and hosting application forms for artists, creators, and business owners.
    1.1 First stage application, online form: The Vendor must fill the form out to completion to the best of their ability with as much detail and full answers.
    1.2 Second stage process: After The Vendor has submitted the application on the ‘Get Involved’ site page, the Black Brighton Market Administrator will review each application. Within 5-10 working days The Vendor will receive an email with the Black Brighton Market terms of agreement to sign alongside a request for an artist/business logo and a request on which event they would like/what market they’d like to sell at.
    1.3 Paperwork and Insurances: The Vendor will be requested to supply any and all proof of trade, including evidence they have Public Liability insurance, and any other paperwork they might need that is specific to their business and/or craft.
    1.4 Booking Dates: The Black Brighton calendar consists of confirmed dates, each of these will take place at the market’s permanent residency The Actors pub. There are plans for pop-ups in which dates will be confirmed as the year proceeds. As dates are confirmed, you will be contacted via email and/or the WhatsApp group chat, where you will then be able to respond with your availability, which once confirmed, you will be sent an invoice with a fee.
    1.5 Privacy of information: All the information shared with the Black Brighton Market Administration team as part of your application process will not be used or shared for anything other than the purposes of Black Brighton Market. If any information is requested for other use, The Vendor will be asked for permission.
  1. Fees.
    2.1 Calculations: All fees go towards the maintenance of the market. While fees do not cover all costs, they contribute to administration, communication, digital and print design, advertising and marketing, event management, sourcing new spaces, collaborations, pop-ups, paying performers, website costs, and the management of vendors before, during, and after events.
    2.3 Cost: The fee for trading at the permanent residency at The Actors shall remain fixed for the 2026 term at £20 per day. Fees for the 2027 term may be subject to review; however, the Administration commits to upholding its core value of maintaining affordability for the Vendor.
    2.4 The Community website feature: The community website will be a space on the Black Brighton Market official website where vendors can showcase their work and have a direct link to their online shop. Giving The Vendor access to: regular patrons, growing sales and direct contact from other organisers and opportunities. It is a 12-month fee of £40. The Vendor will need to have a fully functioning shopping website, alongside a square image/logo.
    2.5 How payment will be taken: Once the dates vendors have been booked for have been confirmed by administration, The Vendor will be sent an invoice that will need to be paid within the deadline stated on the invoice. If the deadline is missed you will be sent a follow up email cancelling your invoice and notified that the space has been offered to another vendor. Each event fee will be invoiced individually and you will not be asked to pay for multiple markets at once. Payment will be requested up to 4-6 weeks before the event, giving enough time for marketing. The Vendor must understand that their place will not be secured until payment has been made. This time frame, however, may differ if there has been a short notice request for a pop-up, but The Administrator will do their utmost to give you as much notice as possible.
    2.6 Refund policy: If – once payment has been made and a place secured, all fees are non-refundable, including in cases where The Vendor can no longer attend for any reason. This has been put into place to ensure each vendor makes the conscious decision to commit.
  1. Communications.
    Communication is a vital part in growth for both business and community. Communication ensures that both The Vendor and The Administration team can create an event that is both profitable and enjoyable for sellers and buyers alike.
    3.1 Transparency: To be as transparent and open with the development and trials of BBM, with both vendors and performers. I understand no one wants to be bombarded with emails, that’s why most updates will be on the website, but I want everyone to feel secure in this as a community and know when and how best to support one another.
    3.2 Bookings: As stated under Applications, vendors will be requested/notified about any dates they are booked to sell at Black Brighton Market. If The Vendor has not received an invoice or booking confirmation, it is asked that they check in with administration and not assume bookings have been made because a specific date is requested.
    3.3 Keeping up to date: A WhatsApp group chat for vendors will be created for quick communication between admin and vendors. It will be used to share information without the bombardment of emails that may be unseen or lost in spam folders. You will be notified of any changes to the market day using the group WhatsApp. Vendors are expected to have the group chat unmuted and checked in the run up to any markets The Vendor is secured to sell at. The Vendor understands they must join the Black Brighton Market WhatsApp group chat for first offers on last minute spaces.
    3.4 Website: The website will be continuously checked and updated. If The Vendor is unsure of any general information about the market, it should be easily found on the official website, specifically on the FaQs page.
    3.5 Feedback: Black Brighton Market prides itself on its communication and transparency between all involved, if a vendor has any positive or negative feedback, they can submit feedback (anonymously) on the official website on the contact page.
  1. Leading up to Market Days – permanent residency
    4.1(a) Tickets: Black Brighton Market will be a free event to attend by patrons at its permanent residency, The Actors pub.
    4.1(b) Donations: Black Brighton Market will be open for donations, both on the Eventbrite listing, on the day and through the Go Fund Me campaign.
    4.2 Graphics: The Administrator will source a graphic designer to create print and digital graphics. The Vendors for each market will get a digital version for the event they will be attending alongside artwork in which they can edit, adding their own products and logo for promotion.
    4.3 Marketing: Funding dependent; flyer and poster distribution will also be acquired for each market. The Black Brighton Market Social Media Manager will create timely campaigns that will span across all social media platforms. Email campaigns, promotions and competitions will also be created by both Social Media Manager and The Administrator that will align with framework/theme of each market. All event listings and links will be shared with The Vendors who would be selling at market advertised as soon as they are listed.
    4.4 Floor planning: The Administrator will create a clear floor plan for each market, making sure to rotate fairly and allow all vendors a chance to sell in each room equally. This will not be shared prior to the day as it may change on the lead up.
  1. Market Days – permanent residency
    5.1 Setting up: The doors will be open, one hour prior to doors opening to the public allowing vendors to set-up. The Vendor is expected to arrive with no less than 30 minutes before opening time to set up. The Administrator or acting person will designate each vendor to a room/table, making sure there is a fair rotation at each market. If The Vendor is solo, they can bring a single assistant for setting up and help throughout the day. If The Vendor cannot bring help in and requires help due to a physical ailment, The Administrator or acting person will be at hand to help The Vendor set-up.
    5.2 Display: The Administrator asks that all vendors arrive to set-up with the utmost professionalism and best representation of your work. All display tables will be supplied to The Vendor. Vendors are required to supply: table coverings, pricing, display items, cash and a card machine if they intend to take card payments.
    5.3 Running day: Throughout working hours it is understood that there will be times that The Vendor will need to leave their stall to use the facilities, get lunch etc. It is requested that you leave your stall for necessities and for no longer than absolutely necessary. When vendors are away from their table for extended periods it can result in a drop in sales, not only for the unchaperoned stall, but for the other vendors who may now be left in a room that is sparse. Although there will be staff at hand on the day, it is not the responsibility of The Administrator to organise your stall being covered.
    5.4 Photographs and videos: photographs and videos will be taken throughout the day by the Black Brighton Market team and hired/voluntary photographers as well as the public. The Administrator will ask all new vendors if they are happy to be photographed, all photos, videos and recordings on market days will be permitted under this agreement both of the vendor and their products. All images and photos will be used to market and promote future events on the official website, social media platforms and event hosting website(s), as well as submitted for future funding applications.
    5.5 Closing down: The Vendor is expected to not begin packing away their stock until closing time.
  1. Pop-Up Events.
    There will not be a separate application for pop-ups. Pop-up events will be offered to vendors for various reasons, some of which may include the market theme or target audience, maybe the venue size. It will also be dependent on The Vendors punctuality and professionalism. The Administrator will be transparent about any different costs or equipment needed prior to offering The Vendor a place. The cost will differ depending on the event, its capacity, and how much in which The Administrator will have to manage, direct, market and generally run said event.
    The Administrator will make sure the space is safe for The Vendors and that The Vendors know they can discuss any issues before, during, or after – if they may arise – with the administrator at any time.
  1. The Community (online)
    The community is an online platform where business owners and artists can showcase their work and/or shop alongside others alike. You do not have to have been a vendor at the market to be a part of The Community. On a monthly basis The Administrator is contacted through email and social media, with requests of vendors, artists and business owners. By taking part in The Community, you can increase the opportunity of sales both off and online, as well as opportunities to network and collaborate.
    7.1 Fees: There is 12 month subscription of £40. After 12 months The Administrator has to contact The Vendor each month for a fee reminder if they wish to renew. Your advertisement will be taken down after three months of chasing if the following payment has not been set in place in this time.
    7.2 Features: The Community will have an advertisement banner on all email campaigns. It will feature on the home page with a changing slide of images and information.
    7.3 Other: Other fees may occur with promotional campaign opportunities.
  1. Liability
    The Administrator is not responsible for loss, theft, or damage to The Vendor’s stock, equipment, or personal belongings during market days, pop-ups, or related events. Vendors trade at their own risk and are responsible for ensuring appropriate insurance coverage is in place.

If it is deemed that The Vendor is unreliable, regularly late, has to leave early or drops out once booked in, they will be offered less opportunity to sell with Black Brighton Market. If a vendor does not honour the majority of their bookings, The Administrator will be within their right to take away future markets booked without refund, as unreliable vendors will begin to have a direct and negative impact on Black Brighton Market’s reputation and professional standing. The team will do their utmost to take into consideration any and all lifestyles, mental health issues and is always open to communication to make your experience at the Black Brighton Market both fruitful in networking, knowledge and profits.

The Terms and conditions may be subject to change and will be re-evaluated for both the benefit of The Vendor and the administrative team at the end of 2027.

The Vendor understands that if they knowingly or recklessly make any false statement in connection with this application, their application could be refused.

The Administrator reserves the right to terminate this Agreement with immediate effect if The Vendor breaches these terms or behaves in a way that negatively impacts the safety, reputation, or smooth running of Black Brighton Market.

By confirming agreement, The Vendor can confirm that they have read and will comply with the terms of the agreement set out by ‘The Administrator’ of Black Brighton Market.
